Terms of Use – Bifrost Ledger

1. Introduction

These Terms of Use ("Terms") govern access to and use of the Bifrost Ledger service ("Service") provided by Moralis AS ("Bifrost Ledger", "we", "us", or "our"). By accessing or using the Service, the customer ("Customer", "you") agrees to be bound by these Terms.

2. Description of the Service

Bifrost Ledger provides a secure integration layer between enterprise resource planning (ERP) systems and Microsoft Excel (Microsoft 365). The Service enables customers to access structured financial data directly in Excel, based on permissions and data available in the connected ERP system. The Service does not store or persist accounting data and does not modify data in the customer's ERP.

3. Eligibility and Authorization

The Customer represents and warrants that it owns or has an explicit and lawful right to use any ERP system connected to the Service. Such rights may include usage through authorized third parties acting on behalf of the Customer, including external accountants or accounting firms, provided that such third parties have been granted valid authorization by the Customer.

The Customer remains fully responsible for all use of the Service performed by authorized third parties.

Any attempt to connect ERP systems, data sources, or APIs without ownership or explicit authorization constitutes a material breach of these Terms and may result in immediate suspension or permanent termination of access.

4. User Accounts and Administration

The first user registered for a Customer organization will be granted administrative privileges and is responsible for managing access, roles, and permissions.

The Customer is solely responsible for ensuring that access granted to employees, external accountants, or other authorized representatives is appropriate, lawful, and within the scope of the applicable license.

5. Licensing and Usage Limits

Access to the Service is subject to the subscription plan and licensed user limits agreed upon at purchase.

Any attempt to circumvent licensing restrictions, including use by more users than licensed, credential sharing, or other efforts to avoid payment obligations, constitutes a material breach of these Terms.

6. Termination and Suspension

Bifrost Ledger reserves the right to suspend or terminate access to the Service with immediate effect and without prior notice if the Customer violates these Terms, attempts to circumvent payment or licensing mechanisms, connects unauthorized ERP systems, misuses the Service, or interferes with system integrity.

Suspension or termination does not relieve the Customer of payment obligations accrued prior to termination.

7. Availability and Dependencies

The Service depends on third-party systems, including the Customer's ERP provider and Microsoft Excel (Microsoft 365). Bifrost Ledger does not guarantee uninterrupted availability and is not responsible for outages or limitations caused by third-party services, APIs, or platform changes.

8. Data Access and Permissions

Access rights and data visibility within Bifrost Ledger are derived from the permissions configured in the connected ERP system. This applies equally to internal users and authorized third parties, including external accountants acting on behalf of the Customer.

Bifrost Ledger does not expand, override, or elevate access rights beyond those granted in the ERP system.

9. Technical Metadata

By using the Service, the Customer acknowledges that Bifrost Ledger collects and processes limited technical metadata necessary for service delivery, security, and licensing enforcement.

Technical metadata does not include accounting data, financial transactions, or customer business information. Full details are described in the Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by law, Bifrost Ledger shall not be liable for indirect, incidental, or consequential damages arising from use of the Service.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Norway.

12. Changes to the Terms

Bifrost Ledger may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
